Throughout these Terms, “we”, “us” and “our” mean KS Suppliers Ltd.
“You” and “your” mean the person or business purchasing goods from us.
2. About These Terms
These Terms govern the sale of goods by KS Suppliers Ltd.
Please read them carefully before placing an order.
By placing an order through our website, you confirm that you have read and agree to these Terms.
Nothing in these Terms is intended to exclude or restrict any legal rights that cannot lawfully be excluded.
If you are purchasing as a consumer, your statutory consumer rights remain unaffected.
3. Consumers and Trade Customers
Different legal rights may apply depending on whether you are purchasing as a consumer or for business purposes.
A consumer is an individual purchasing goods wholly or mainly for purposes outside their trade, business, craft or profession.
A business or trade customer is a person, company, partnership, organisation, contractor, electrician or other entity purchasing goods wholly or mainly for business or professional purposes.
Where a provision of these Terms applies only to consumers or only to business customers, this will be stated.
4. Our Products
We supply electrical products including, but not limited to:
Cables and wiring accessories; switches and sockets; MCBs, RCBOs and RCDs; consumer units and distribution equipment; isolators and switchgear; conduit and trunking; lighting products; cable accessories; boxes and enclosures; sensors and alarms; fans and ventilation products; plugs and extension leads; and other electrical accessories.
We make reasonable efforts to ensure product descriptions, specifications, photographs and information displayed on our website are accurate.
However, product photographs are for illustrative purposes and minor differences in colour, packaging, labelling or appearance may occur.
Manufacturers may occasionally change packaging, specifications or product appearance without prior notice.
Where an exact specification is important to your project, please contact us before ordering.
5. Product Suitability
It is your responsibility to ensure that the products you order are suitable for your intended application unless we have specifically confirmed suitability to you in writing.
Product descriptions and technical information on our website are provided to assist product selection but should not replace manufacturer instructions, technical specifications or professional electrical advice.
Customers should check applicable ratings, dimensions, current ratings, voltage ratings, breaking capacity, IP ratings, cable specifications and other technical requirements before installation.
6. Electrical Installation and Safety
Electrical products should be installed, tested and used in accordance with applicable manufacturer instructions and relevant electrical regulations and standards.
Where professional installation is required, products should be installed by a suitably competent and qualified person.
KS Suppliers Ltd is not responsible for problems caused by incorrect installation, misuse, unauthorised modification, improper storage, unsuitable application or failure to follow manufacturer instructions, except where the law does not permit us to exclude responsibility.
This clause does not affect a consumer's statutory rights relating to faulty or misdescribed goods.
7. Prices
Prices displayed on our website are subject to change from time to time.
The price applicable to your order will normally be the price shown when you submit the order.
Use ONE of these depending on your website configuration:
Option A: All prices displayed to consumers include VAT where applicable unless clearly stated otherwise.
OR
Option B: Prices displayed as excluding VAT will be clearly identified and VAT will be added at the applicable rate before checkout.
Delete the option you are not using.
Delivery charges, where applicable, will be shown separately before you complete your order.
Online sellers must disclose the total price and delivery charges or explain how they are calculated before the customer orders.
8. Pricing Errors
We take reasonable care to ensure our prices are correct.
Occasionally, a product may be incorrectly priced due to a technical, administrative or supplier error.
If we identify an obvious pricing error before accepting or dispatching your order, we may contact you to give you the option to purchase the product at the correct price or cancel the affected item.
If you choose to cancel, any amount already paid for that item will be refunded.
9. Placing an Order
You can place an order through our website by selecting products and proceeding through checkout.
Please check your order carefully before submitting it, including quantities, product references, delivery details and contact information.
Submitting an order represents an offer to purchase the products.
An automatically generated acknowledgement does not necessarily mean that your order has been accepted.
10. Order Acceptance
A contract between you and KS Suppliers Ltd is formed when we confirm acceptance of your order or dispatch the goods, depending on our normal order-processing procedure.
We may refuse or cancel an order before acceptance where, for example, the product is unavailable, payment cannot be authorised, there is an obvious pricing or description error, suspected fraud exists, delivery is unavailable to the requested address, or legal restrictions prevent us from supplying the goods.
If we cancel an order after receiving payment, we will refund the applicable amount.
11. Product Availability
All products are subject to availability.
Stock levels shown online may change throughout the day and cannot always be guaranteed until your order is processed.
If a product becomes unavailable after you order, we may contact you to offer an alternative product, place the item on back order where agreed, or provide a refund for the unavailable item.
We will not substitute a materially different product without your agreement.
12. Payment
Payment must be made using one of the payment methods offered during checkout or otherwise agreed with us.
You confirm that you are authorised to use the payment method provided.
For website purchases, payment may be processed by third-party payment providers.
We do not guarantee that every payment method will always be available.
Orders may be held until payment has been successfully authorised.
13. Trade Accounts
Where we separately approve a credit or trade account, additional payment terms may apply.
Any credit limit or payment period granted by us is subject to ongoing approval and may be changed or withdrawn where reasonably necessary.
Invoices must be paid by the due date stated on the invoice.
Trade-account terms agreed separately with a business customer will take precedence over conflicting provisions in these general Terms to the extent of the conflict.
14. Delivery
We will deliver to the address supplied when you place your order.
Please ensure your address, postcode, telephone number and other delivery information are accurate.
Delivery options, estimated delivery times and applicable charges will be shown where available.
Any quoted delivery date is an estimate unless we specifically agree that a particular delivery date is essential.
For consumer online orders, goods must generally be delivered within 30 days unless another delivery period has been agreed.
15. Delivery Delays
We aim to dispatch and deliver orders promptly, but delivery may occasionally be delayed because of circumstances outside our reasonable control.
These may include courier delays, severe weather, traffic disruption, supplier shortages, industrial action, system failures or other unforeseen events.
If a significant delay occurs, please contact us and we will try to resolve the issue.
Nothing in this provision removes any statutory rights available to consumers where goods are not delivered within the required or agreed period.
16. Failed Delivery
You are responsible for providing a delivery address where somebody can receive the goods where a signature or personal delivery is required.
If delivery cannot be completed because incorrect information was supplied, access is unavailable, or nobody is available to accept delivery, the courier may attempt redelivery or return the goods to us.
Additional reasonable delivery charges may apply where a further delivery is requested due to circumstances attributable to the customer.
17. Checking Your Delivery
Please inspect your order as soon as reasonably possible after delivery.
If your parcel appears visibly damaged, take photographs before opening it where possible.
If an item is damaged, missing or incorrect, contact us promptly with your order number and details of the problem.
Business customers should report obvious shortages or transit damage as soon as reasonably practicable so that we can investigate with the courier.
This does not reduce statutory rights available to consumers.
18. Consumer Right to Cancel Online Orders
If you purchase as a consumer online, by telephone or through another distance-selling method, you normally have the right to cancel your order without giving a reason.
You must normally tell us that you wish to cancel within 7 days after receiving the goods.
After notifying us, you normally have a further 7 days to return the goods.
These statutory cancellation rights apply in addition to your rights where goods are faulty.
UK guidance confirms these 14-day periods for distance purchases.
To cancel, contact:
Email: sales@kssuppliers.com
Please include your name, order number and the goods you wish to return.
19. Returning Goods After Consumer Cancellation
Unless we have agreed otherwise, consumers are responsible for returning cancelled goods to us.
Goods should be returned to:
KS Suppliers Ltd
237, Edgware Road, Colindale, London, NW9 6LU.
You should take reasonable care of the goods while they are in your possession.
You may inspect goods in a way reasonably necessary to establish their nature, characteristics and functioning, similar to what would normally be possible in a shop.
If goods have been handled beyond what is reasonably necessary and their value has been reduced, we may be entitled to make an appropriate deduction from the refund where permitted by law.
Government guidance confirms consumers can handle goods as they would in a shop, while deductions may be possible where goods have been used or damaged beyond this.
20. Consumer Refunds After Cancellation
Where a consumer validly cancels an online order, we will refund the amount required by law.
This will normally include the purchase price and the basic standard outbound delivery charge.
If you chose a premium delivery option that cost more than our standard delivery service, we are not normally required to refund the additional premium delivery cost.
Refunds will normally be made using the original payment method.
We may wait until the returned goods are received or evidence of return is provided where the law permits.
Government guidance states refunds should generally be made within 14 days of receiving the returned goods, and standard outbound delivery should also be refunded.
21. Return Postage for Change-of-Mind Cancellations
Where permitted by law, the customer is responsible for the direct cost of returning goods following a change-of-mind cancellation.
If an item cannot reasonably be returned using normal postal services, please contact us before returning it.
If goods are faulty, damaged, incorrect or not as described, different rules may apply and we will deal with reasonable return arrangements as required by law.
22. Products Excluded From Change-of-Mind Cancellation
Certain products may be excluded from the statutory change-of-mind cancellation right where permitted by law.
This may include goods that have been made to your specifications or clearly personalised.
Simply ordering a standard product that we obtain from a supplier does not automatically make it a bespoke product.
Government guidance confirms the bespoke/personalised exception is interpreted based on whether the product is genuinely made to a particular consumer's unique specification.
Any exclusion from cancellation rights will not affect your rights where goods are faulty or misdescribed.
23. Faulty, Damaged or Misdescribed Goods
We are responsible for supplying goods that comply with applicable consumer law.
Consumer goods must be of satisfactory quality, fit for purpose where applicable and as described.
If an item is faulty, damaged when supplied, not as described or does not perform as legally required, please contact us.
UK law requires retailers to provide appropriate remedies for faulty or misdescribed goods and businesses cannot contract out of those consumer rights.
24. Consumer Faulty-Goods Rights
Depending on the circumstances and how long you have owned the product, consumer remedies may include rejection and refund, repair, replacement or an appropriate price reduction.
The Consumer Rights Act provides consumers with important remedies, including an initial short-term right to reject qualifying faulty goods and subsequent repair or replacement rights.
Nothing in these Terms limits those rights.
25. Manufacturer Warranties
Some products may include a manufacturer's warranty or guarantee.
The duration and conditions of manufacturer warranties differ between products and brands.
Where applicable, warranty information may be included with the product or available from the manufacturer.
A manufacturer's warranty is additional to, and does not replace, statutory consumer rights. GOV.UK confirms consumers can still have repair or replacement rights even if a manufacturer's warranty has expired.
26. Incorrectly Ordered Products
For trade or business customers, acceptance of non-faulty returns for incorrectly ordered products is at our discretion unless otherwise agreed.
Any accepted business return may be subject to reasonable conditions relating to the condition of the product, packaging, time since supply, supplier restrictions and reasonable restocking or handling costs agreed or disclosed to the business customer.
This paragraph does not restrict statutory cancellation rights available to consumers.
27. Condition of Returned Products
Where a non-faulty return is accepted, products should normally be returned complete with their packaging, instructions, accessories and supplied components.
Please package returned items securely.
Do not write directly on or attach courier labels to retail product packaging where separate protective outer packaging can reasonably be used.
This condition does not remove legal rights relating to faulty goods.
28. Special Orders
Certain products may be ordered specifically for a customer's requirements and may not normally be held in our stock.
For business customers, special-order items may be non-cancellable once we have committed to purchasing or manufacturing the goods, where this was clearly communicated and agreed before the order.
For consumers, statutory cancellation rights and applicable exceptions continue to apply regardless of the wording of this clause.
29. Product Installation After Return
Where an electrical product has been installed, altered, modified or damaged after supply, this may affect whether it can be accepted as a non-faulty change-of-mind return.
However, installation or use does not automatically remove statutory rights if the product itself was faulty or failed to comply with the contract.
30. Ownership and Risk for Business Customers
For business customers, risk in the goods normally passes on delivery unless otherwise agreed.
Where goods have been supplied on credit, we may retain ownership of those goods until amounts properly due for those goods have been paid in full, subject to applicable law and any separate trade-account agreement.
31. Our Liability to Consumers
Nothing in these Terms excludes or limits liability where doing so would be unlawful.
In particular, nothing excludes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or statutory consumer rights which cannot legally be excluded.
Consumer contract terms cannot lawfully exclude responsibility for matters such as faulty or misdescribed goods.
32. Our Liability to Business Customers
If you are purchasing wholly for business purposes, we will not normally be responsible for indirect or consequential business losses such as loss of profit, loss of business, loss of contracts, loss of anticipated savings or business interruption arising from circumstances that were not reasonably foreseeable.
Nothing in these Terms limits liability that cannot legally be limited or excluded.
For substantial commercial purchases or credit accounts, separate trade terms may apply.
33. Customer Responsibilities
You are responsible for providing accurate order, payment and delivery information.
You are also responsible for checking that products are appropriate for your intended application and for following applicable installation, testing, safety and manufacturer requirements.
You must not misuse products or use them for an unlawful purpose.
34. Website Information
We aim to keep our website available and accurate but cannot guarantee uninterrupted or error-free access.
We may update product information, prices, availability, website functionality and content from time to time.
Website content is provided for general information and product-selection purposes.
35. Intellectual Property
Website content including our own text, graphics, layouts, photographs and KS Suppliers branding is owned by us or used with appropriate permission unless otherwise stated.
Manufacturer names, trademarks, product photographs and logos belong to their respective owners.
Displaying a manufacturer's brand does not necessarily imply that KS Suppliers Ltd is an authorised distributor, agent or representative of that manufacturer unless explicitly stated.
This point is particularly useful on your website because you are displaying brands such as Schneider Electric, MK, Europa, Eaton, Wylex and Fuse Box.
36. Promotions and Discount Codes
Promotional offers may be subject to separate conditions.
Unless stated otherwise, discount codes cannot be exchanged for cash, may be restricted to selected products or customers, and may have an expiry date.
We may withdraw a promotion where there has been an obvious error, misuse or fraud, subject to applicable consumer law.
37. Personal Information
Personal information collected through orders, customer accounts, enquiries and website use will be handled in accordance with our Privacy Policy.
Please read our Privacy Policy for details of the information we collect and how we use and protect it.
38. Cookies
Our website may use cookies and similar technologies.
Further information about the cookies used and your choices should be provided through our cookie notice or Cookie Policy.
39. Events Outside Our Reasonable Control
We will not be responsible for a failure or delay caused by circumstances outside our reasonable control where the law permits.
Examples may include severe weather, transport disruption, supplier failures, fire, flood, power or telecommunications failures, industrial action or government restrictions.
We will take reasonable steps to minimise disruption.
40. Changes to These Terms
We may update these Terms from time to time.
Changes will apply to future orders from the date the updated Terms are published.
The Terms applicable to an existing order will normally be those in effect when the contract for that order was formed.
41. If Part of These Terms Is Invalid
If a court or competent authority finds part of these Terms unlawful or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.
42. Governing Law
These Terms are governed by the applicable laws of England and Wales.
If you are a consumer resident elsewhere in the United Kingdom, you may also benefit from mandatory protections available under the law applicable to you.
Nothing in this clause is intended to prevent consumers from exercising rights regarding where legal proceedings may lawfully be brought.
43. Complaints
If you are unhappy with an order or our service, please contact us so we can try to resolve the matter.
